IN NO EVENT SHALL NORTHSTAR, ITS AFFILIATES AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS BE LIABLE TO YOU FOR ANY LOSSES OR DAMAGES IN ANY WAY RELATED TO THIS SITE GREATER THAN $500.

You agree to indemnify, defend, and hold harmless Northstar, its directors, officers, employees, and agents from and against all losses, expenses, damages, and costs, including reasonable attorney fees, arising out of or relating to use of this site by you or any other person accessing the site using your user name and password.

Jurisdiction

These Terms of Use shall be interpreted in accordance with and governed in all respects by the substantive laws of the State of New York, without regard to its provisions relating to conflict of laws. You and Northstar agree to submit to the personal and exclusive jurisdiction and venue of the state and federal courts located within Erie County, New York. The failure of Northstar to exercise or enforce any right or provision of the Terms shall not constitute a waiver of such right or provision. If any provision of the Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the Terms remain in full force and effect. You agree that regardless of any statute, regulation, or law to the contrary, any claim or cause of action arising out of or related to use of the site or the Terms must be filed within one year after such claim or cause of action arose or be forever barred.

Termination

You agree that Northstar, in its sole discretion, may terminate or suspend your use of this site at any time and for any or no reason in its sole discretion, even if access and use continues to be allowed to others. Upon such suspension or termination, you must immediately (a) discontinue use of this site, and (b) destroy any copies you have made of any portion of its content. Accessing this site after such termination, suspension or discontinuation shall constitute an act of trespass. Further, you agree that Northstar shall not be liable to you or any third party for any termination or suspension of your access to this site.

Entire Agreement

These Terms of Use, together with the Privacy Policy, constitute the entire agreement between Northstar and you concerning the terms and conditions of use of this site.
